{"id":24016,"date":"2014-10-21T14:29:50","date_gmt":"2014-10-21T12:29:50","guid":{"rendered":"https:\/\/lab.mediatools.it\/notariato\/sezione_casa\/preliminary-contract\/"},"modified":"2021-12-29T11:12:28","modified_gmt":"2021-12-29T10:12:28","slug":"preliminary-contract","status":"publish","type":"casa","link":"https:\/\/www.notariato.it\/en\/casa\/preliminary-contract\/","title":{"rendered":"The preliminary contract"},"content":{"rendered":"","protected":false},"template":"","categoria-casa":[9253,9421],"class_list":["post-24016","casa","type-casa","status-publish","hentry","categoria-casa-atti","categoria-casa-contratto-preliminare-caparra"],"toolset-meta":{"sezione_casa-fields":{"casa_abstract":{"type":"wysiwyg","raw":""},"casa_data":{"type":"date","raw":"1413849600","formatted":"21\/10\/2014"},"casa_sottotitolo":{"type":"wysiwyg","raw":""},"casa_testo":{"type":"wysiwyg","raw":"The preliminary contract (\u201c<strong>contratto preliminare<\/strong>\u201d also called a \u201ccompromesso\u201d) is a true contract that\u00a0<strong>obligates both parties<\/strong>\u00a0to sign the final contract.\r\n\r\nThe preliminary contract stipulates the main elements of the transaction such as\u00a0<strong>the sale price and the identity of the property in question, its address and a detailed description<\/strong> (floors, rooms, etc.) with <b>up-to-date information<\/b> from the Land Registry and the date of the final contract. It should also define all mutual obligations to be fulfilled before the handover of the property. In the case of <strong>sale of properties under construction<\/strong>, the law stipulates special rules for the preparation of the preliminary contract. It is mandatory that the preliminary contract be drawn up by a notary in the form of a public deed or an authenticated private agreement.\r\n\r\nIn the case of:\r\n<ul>\r\n \t<li><strong>substantial advance payments,<\/strong><\/li>\r\n \t<li><strong>a long time between the preliminary and final contracts<\/strong><\/li>\r\n \t<li><strong>a seller at risk of insolvency,<\/strong><\/li>\r\n<\/ul>\r\nin order to ensure\u00a0<strong>maximum protection<\/strong>\u00a0for the prospective purchaser it is important that the<strong>\u00a0preliminary contract be drawn up by the notary<\/strong>\u00a0using an authenticated private or public deed, so that it is\u00a0<strong>transcribed in the Land Registry<\/strong>. In all other cases, the need for transcription can be\u00a0<strong>evaluated with the assistance of a notary<\/strong>.\r\n\r\n<strong>Transcription<\/strong>\u00a0serves to reserve the purchase of the property. It's no longer just a private agreement between buyer and seller, it has become\u00a0<strong>legally binding towards anyone<\/strong>\u00a0(technically it is \"enforceable against third parties\") and the seller, as a result,\u00a0<strong>cannot sell the property to someone else<\/strong>\u00a0or grant a mortgage over the property or create a passive servitude or grant any other prejudicial right over the property. Any creditors of the seller\u00a0<strong>will not be able to register a covenant on the property promised for sale, or seize it<\/strong>.
